There is a specific set of criteria outlined in the bylaws for acceptance/rejection of board candidates and members. SEMPO's new bylaws, posted recently, call for all seats to come due at the same time and for all seats to
have a one year term.
Earlier this month, the SEMPO search marketing group approved a variety of new governance documents, such as new bylaws, anti-trust
guidelines and articles of incorporation. You'll find these all posted via SEMPO's About SEMPO page.
SEMPO bylaws apparently didn't require the membership to be polled, but that's beside the point. To be fair, SEMPO says its bylaws didn't require any type of member nomination or election process for a new board member to be appointed.
